Amendment to ProSeries Software License Agreement

  1. This amendment ("Amendment") is between you and Intuit Inc. ("Intuit") and modifies the software license agreements accompanying the software that Intuit provides to educational institutions participating in Intuit's Educational Software Program ("Software"). In the event of a conflict between any such software license agreement ("License Agreement") and this Amendment, this Amendment shall govern and control. Accordingly, notwithstanding any provision to the contrary, all License Agreements are modified as follows.
  2. You are granted a non-exclusive, non-transferable license to use the Software on one or more computers located at the address of the Educational Institution listed below (the "Site"). The Software may only be used as a learning tool for class instruction (the "Instructional Use"), and may not be used for filing of tax returns, electronically or otherwise. You may make one archival or backup copy of the Software for internal use purposes, but only in accordance with any License Agreement as modified by this Amendment. You may make additional copies of the documentation accompanying the Software as needed only for Instructional Use (as defined above) at the Site.
  3. You may not use the third party merchant card services accessible via the Software.
  4. You must specify below the tax year for the Software that you wish to use at the Site. You may only license the Software in the name of the Site. No other licensee name will be allowed.
  5. You understand that during the Software installation process, you will be given the opportunity to review and accept the License Agreements. If you elect not to accept the License Agreements, you will not be allowed to install the Software and you must return the Software to Intuit as provided in the License Agreements.
  6. Except as expressly provided herein, nothing in this Amendment shall be deemed to waive or modify any of the provisions of the License Agreements.
  7. If you agree to this Amendment, please fill in the requested information and sign below. You warrant and represent this Amendment has been signed by a duly authorized representative of the Site.
